Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and Frienbie LLP (“Frienbie”, “we”, “us”, “our”). By accessing or using Frienbie, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

• Service: The Frienbie website, apps, features, and services.
• User, you: Any person who accesses or uses the Service.
• Content: Text, images, messages, bios, groups, and any other data posted or transmitted via the Service.
• College/Institution: Any college or university a user is affiliated with. They are not responsible for your use of Frienbie.

2. Eligibility

• You must be at least 16 years old and a current college student or otherwise eligible under applicable law to use the Service.
• You must provide accurate information (name, age, institution) and keep it updated.
• We may require verification; we do not guarantee any verification outcome.

3. Account & Security

• You are responsible for all activity under your account and for safeguarding your credentials.
• Do not share your account or impersonate others.
• Notify us immediately of any unauthorized use or security breach.

4. User Conduct

You agree not to:

• Harass, bully, threaten, defame, or engage in hate speech or illegal activities.
• Spam, scam, solicit money, or share misleading or fraudulent content.
• Post content that is pornographic, exploitative, or violates any law or third-party rights.
• Upload malware, attempt to hack, scrape, or reverse engineer the Service.
• Create fake profiles, misrepresent your identity, or use the Service for commercial advertising without permission.

5. Safety & In-Person Meetings

• Frienbie is a digital platform. We do not organize, monitor, or guarantee any offline meetings.
• No guarantee of matches or outcomes: We do not promise that you will make friends, form groups, or achieve any relationship outcome.
• Use caution: meet in public places first, inform a trusted person, and do not share sensitive personal or financial information.
• You are solely responsible for assessing the safety of any location or meeting and for your interactions on or off the Service.
• Neither Frienbie nor any partnered college/institution is responsible for user conduct or incidents arising from user interactions.

6. Content: Ownership & License

• You retain ownership of your Content. By posting Content, you grant Frienbie a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for formatting), display, and distribute your Content solely to operate and improve the Service.
• You represent that you have all rights necessary to post the Content and that it does not infringe any rights or laws.
• We may remove or restrict Content that violates these Terms or applicable law.

7. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect, use, and protect your data.

8. Third-Party Services

• The Service may integrate with third-party services (e.g., Firebase for hosting/auth). Their practices are governed by their own terms and policies.
• Frienbie is not responsible for third-party services, links, or their security, availability, or actions.

9. Moderation & Enforcement

• We may use automated tools and/or human review to detect policy violations.
• We may remove Content, restrict features, suspend, or terminate accounts at our sole discretion, particularly for suspected fraud, harassment, or safety risks.
• You can report users or Content via in-app tools or by contacting us (see Section 18).

10. Reporting, Takedown, & Legal Requests

• On receiving proper notice of illegal or infringing Content, we may remove it and/or disable access as required by law.
• If you believe your IP rights are infringed, contact us with details (work, link/ID of content, proof of ownership, your contact info, and a good-faith statement).
• We may share information with law enforcement when legally required or to protect safety.

11. Service Changes & Availability

• We may change, suspend, or discontinue any part of the Service at any time.
• We do not guarantee uninterrupted or error-free operation.

12. Payments & Refunds

• The Service may be free today. If paid features are introduced later, separate terms or plans may apply.
• Unless stated otherwise, fees are non-refundable except where required by law.

13. Disclaimers

• No verification guarantee: We do not guarantee that user profiles, identities, or statements are true or accurate.
• No guarantee of matches/outcomes: We do not promise any particular social or relationship results.
• The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied.

14. Limitation of Liability

• To the maximum extent permitted by law, Frienbie and its affiliates, officers, employees, and partners are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of data, reputation, profits, or revenues, arising from or related to your use of the Service or user interactions on or off the Service.
• To the extent any liability is found, our aggregate liability shall not exceed the amount you paid to Frienbie for the Service in the 12 months prior to the claim (or INR 0 if you paid nothing).

15. Intermediary & Institution Liability

• Frienbie acts as an intermediary platform for user-generated content and interactions. Under applicable Indian law (including Section 79 of the IT Act), Frienbie is not liable for third-party content or user actions provided we observe due diligence and act on valid notices.
• Colleges/institutions associated with users are not responsible for user conduct or for your use of the Service.

16. Indemnity

You agree to defend, indemnify, and hold harmless Frienbie and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your Content; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your interactions with other users.

17. Termination

• You may stop using the Service or delete your account at any time.
• We may suspend or terminate your access at any time, with or without notice, for any reason, including policy or legal violations or safety risks.
• Upon termination, rights granted to you under these Terms will cease, but sections that by nature should survive (e.g., licenses already granted, disclaimers, limitations of liability, and indemnities) will continue.

18. Governing Law & Dispute Resolution

• These Terms are governed by the laws of India.
• Courts in Nainital, Uttarakhand, India shall have exclusive jurisdiction, subject to any mandatory arbitration/mediation requirements that may be introduced for certain disputes and notified to users.

19. Changes to These Terms

• We may update these Terms from time to time. Material changes will be notified via the Service or by email where feasible.
• Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
